The short version
- This site is for businesses, not consumers. By using it you agree to these terms.
- Everything published here is information, not an offer. A contract exists only when we both sign one, or when we confirm your purchase order in writing.
- Product photos, lead times, MOQs and price indications are indicative. Formulations and packaging may change where regulations, material availability or safety require it.
- If you place a fragrance on the market, you are the responsible person in that market — notification, labelling and the safety assessment are your obligations, not ours, unless we sign a written agreement saying otherwise.
- Do not send us a confidential formula or concept before an NDA is signed.
1. About these terms
These terms govern your access to and use of customperfumeoem.com and everything published on it. The site is operated by:
- Legal entity
- Laiyue Biological Group Co., Ltd.
- Trading name
- LAÉYO PARFUM
- Registered address
- No. 18 Huahai Road, Huadu District, Guangzhou, Guangdong, China
- Business email
- sales@laeyo-parfum.com
- Telephone
- +86 20 8688 0000
- +86 138 0000 0000
“We”, “us” and “our” mean that entity. “You” means the business you represent and, where the context requires, the individual using the site.
By accessing the site, or by sending us an inquiry through it, you agree to these terms. If you do not agree, please do not use the site. If you use the site on behalf of a company, you confirm that you have authority to bind that company.
These terms are about the website. The supply of goods and services is governed by the quotation, supply agreement, purchase-order confirmation and any NDA we sign with you. If those documents conflict with these terms, the signed documents prevail for the supply; these terms continue to govern your use of the site.
Our handling of personal data is described separately in the Privacy Policy, which forms part of these terms.
2. Eligibility and business use
This site is intended for trade customers — brands, distributors, retailers, formulators and their agents — and not for private consumers. By using it you confirm that:
- you are at least 18 years old and have legal capacity to enter into contracts;
- you are acting in the course of a business, trade, craft or profession;
- any information you give us is accurate and you are entitled to give it.
We are a manufacturer and exporter. We do not sell finished fragrance to the public, we do not operate a consumer shop on this site, and we may decline an inquiry or an order for any legitimate reason — for example where the intended market, claim or product category raises a regulatory or ethical concern that we cannot support.
3. Information only — no offer
Everything on this site — product descriptions, capacity figures, certifications, MOQ statements, lead times, photographs, indicative prices — is provided for general information. It is an invitation to discuss, not a binding offer, and it does not create a contract.
A contract between us comes into existence only when one of the following happens:
- we both sign a written supply agreement or project agreement; or
- we issue a written order confirmation or proforma invoice in response to your purchase order, and you accept it in writing.
Until then, either side may withdraw from negotiations without liability, and we may correct errors and omissions in published information at any time — including after an inquiry has been sent. Descriptions of capability (for example annual output, MOQ or sampling turnaround) describe our normal practice; the figures that bind us are the ones written into your order confirmation.
4. Quotations, samples and orders
- Quotations are valid for 30 days from the date of issue unless the quotation states otherwise, and are subject to raw-material and freight movements beyond our control.
- Samples are charged unless we agree otherwise in writing, and sample and courier costs are payable in advance. A sample represents the reference standard for the project; approving it does not waive the specification written into the order confirmation.
- Lead times are estimates based on the information available at the time. They are not a guaranteed delivery date unless we expressly accept a fixed date in writing, and they are subject to the force-majeure provision in section 16.
- Delivery terms follow the Incoterms stated in the order confirmation. Risk passes as stated there; where nothing is stated, risk passes on delivery to the first carrier.
- Tolerances customary in the fragrance and packaging industries apply — for example fill volume, colour matching within an agreed tolerance, and natural variation in glass and caps. These are agreed in the order confirmation, not inferred from photographs.
5. Product and regulatory information
We publish technical and regulatory material — IFRA compliance statements, safety data sheets, certificates of analysis, allergen declarations, GMP and ISO 22716 documentation — because our customers need it. Please read it with these limits in mind:
- It relates to a specific product, batch, site and date. A certificate is not transferable to another batch, another formula, or another production site.
- It is not a substitute for the safety assessment required before a cosmetic product is placed on the market. That assessment must consider the finished product, its concentration of use, its application site and its packaging.
- Photographs and renders are illustrative. Glass thickness, cap finish, print colour and box board shade vary between production runs; screen calibration varies between devices. Physical samples are the reference.
- Formulations may change. Where a raw material becomes unavailable, restricted, or subject to a new IFRA restriction or regulatory limit, we may adjust a formula. Where the change affects the sensory profile, the safety assessment or the labelling, we will tell you before shipping and, where necessary, re-submit a sample for approval.
- Compliance depends on the destination market and the claim. A fragrance that is compliant in one market may not be in another — different allergen labelling, different restricted-substance lists, different notification systems. Which market you sell into determines what is required.
Nothing on this site is legal, regulatory, medical or professional advice. If you need advice for a specific market, engage a qualified regulatory consultant or the responsible person for that market.
6. Regulatory responsibility of the brand owner
This section matters more than any other on this page. When a cosmetic product is placed on the market, the law places the responsibility for that product on the entity that puts its name to it — not on the factory that filled the bottle. Our role as manufacturer does not transfer that responsibility to us.
| Market | Who carries the obligation | What it involves |
|---|---|---|
| European Union | The Responsible Person established in the EU, named on the label | Cosmetics Regulation (EC) No 1223/2009: a product safety report by a qualified safety assessor, a Product Information File kept for 10 years, notification in CPNP before placing on the market, compliant labelling including the allergen declaration, and claims that are substantiated. |
| United Kingdom | The UK Responsible Person | UK Cosmetics Regulation as retained and amended: a UK safety assessment, notification via the SCPN before sale, and a UK address on the label. |
| United States | The responsible person for the product | MoCRA (FDA): facility registration for cosmetic manufacturing and processing, product listing, adverse-event records, and adequate substantiation of safety. Fragrance allergens must be disclosed to the FDA on request where they exceed the regulatory threshold. |
| China | The domestic responsible entity (境内责任人) for imports | Cosmetics Supervision and Administration Regulation: filing or registration with the NMPA depending on product category, a safety assessment dossier, and compliant Chinese labelling. |
| Other markets | Whoever the local law designates, usually the importer or brand owner | ASEAN Cosmetic Directive, Gulf SASO/GSO requirements, Mercosur rules, and national notification systems vary widely. |
What that means in practice. Unless we have signed a written agreement expressly appointing us as your responsible person or regulatory agent for a named market — and we have accepted that appointment in writing — you are responsible for:
- appointing a responsible person or domestic responsible entity where the law requires one;
- commissioning the safety assessment and holding the product information file;
- notifying or filing the product before it is placed on the market;
- the accuracy of the labelling, claims, ingredient list and allergen declaration;
- confirming that the fragrance we supply is suitable for your specific application, concentration and packaging;
- any claim you make about the product, including “natural”, “clean”, “hypoallergenic”, “vegan” or therapeutic-sounding claims, which may be restricted in your market.
We will give you the documentation we hold — IFRA certificates, safety data sheets, allergen declarations, GMP certificates, specifications — and we will answer technical questions promptly. Providing documentation is not the same as certifying your product, and it does not make us the responsible person.
7. Intellectual property
The site and everything on it — text, layout, photographs, renders, illustrations, the name LAÉYO PARFUM and our logos, the selection and arrangement of the content, and the underlying code — are owned by us or licensed to us, and are protected by copyright, trademark and design law in China and internationally.
You may:
- view the site and print or download individual pages for your own internal business evaluation;
- quote short extracts with a clear attribution and a link to the page, where the use is fair and not misleading.
You may not, without our prior written permission:
- copy, republish, resell or redistribute substantial parts of the site, or use it to build a competing catalogue or database;
- use automated means to scrape, crawl or harvest content, other than a standard search-engine crawler obeying our
robots.txt; - frame the site, mirror it, or remove or obscure any copyright, trademark or attribution notice;
- use our name, logo or product photographs in a way that suggests endorsement, partnership or certification that does not exist;
- use the content, or any material we send you, to train, fine-tune or otherwise develop a machine-learning or generative model.
Reservation of text and data mining rights. We reserve all rights to prevent text and data mining of the content on this site, in accordance with Article 4(3) of Directive (EU) 2019/790 and equivalent reservations available under applicable law. This reservation applies to content in machine-readable form and to any use for the purposes of developing, training or operating artificial-intelligence systems. Any permitted quotation or reproduction must not be used for those purposes.
Product formulations we develop for you, and the artwork you supply to us, are dealt with in the supply agreement or NDA between us, not in these website terms.
8. Your submissions and unsolicited ideas
We are a fragrance house. We receive ideas constantly, we work on many briefs at the same time, and we develop our own concepts. This has a consequence you should know about before you send us anything through this website.
Information you send through the public site or by unsolicited email is not confidential. Until we have signed a mutual non-disclosure agreement, we cannot treat it as confidential, and we do not accept any obligation of confidentiality, compensation or non-use in respect of it. Specifically, we may already be developing, or may later develop, a fragrance that is similar to a concept you describe, and that will not give rise to any claim against us.
So please:
- do not send us a formula, an accord, a supplier list, pricing structure or anything else you regard as a trade secret before an NDA is signed;
- describe your project at a level that is enough for us to assess feasibility — category, market, target price, packaging direction, timing;
- ask us for our standard mutual NDA whenever you are ready to go deeper. We sign these routinely, at no cost, and we can turn one around quickly.
Once an NDA is in place, it governs confidentiality for the material it covers and prevails over this section. You are responsible for making sure you have the right to send us any material you do send — including artwork, trademarks and third-party formulations — and for the accuracy of what you send.
9. Third-party links and embeds
The site contains links to third-party websites — industry bodies, certificate registers, social networks, map data — and embeds a map from OpenStreetMap on the contact page. These are provided for convenience. We do not control those sites, we do not endorse their content, and we are not responsible for their information, products, security or privacy practices. Following a link is at your own risk, and the terms and privacy notice of the destination apply once you leave our site.
We are not responsible for content on third-party sites that links to us, or for any statement about us made by someone else.
10. Availability and changes
We aim to keep the site available and accurate, but we do not promise uninterrupted access. The site may be unavailable during maintenance, upgrades, or events outside our control, and we may change, suspend or withdraw any part of it — including a page, a product description or a whole section — at any time and without notice.
We are not obliged to keep any particular page online, and withdrawing content does not affect a contract already concluded or a quotation still valid under section 4.
11. Disclaimer of warranties
To the fullest extent permitted by applicable law, the site and its content are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory. In particular, and without limiting that sentence, we do not warrant that:
- the content is accurate, complete, current or free from typographical error;
- the site will be uninterrupted, timely, secure or free from viruses or other harmful components;
- any product, formulation, packaging or document described on the site is available, suitable for your market, or compliant with the law of any particular country;
- any result described on the site — a lead time, a MOQ, a sampling turnaround, a capacity figure — will be achieved for your project.
We exclude implied warranties of merchantability, fitness for a particular purpose, satisfactory quality and non-infringement to the extent the law allows. Nothing in this section excludes a warranty or condition that cannot lawfully be excluded.
12. Limitation of liability
Nothing in these terms limits or excludes our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation;
- gross negligence or wilful misconduct (including, under the Civil Code of the People’s Republic of China, the situations in Article 506 where an exemption clause is void);
- any other liability that cannot be limited or excluded by applicable law, including mandatory consumer protection rules where they apply.
Subject to that paragraph, and to the fullest extent permitted by law:
- we are not liable for any indirect, incidental, special, punitive or consequential loss, or for loss of profit, revenue, goodwill, anticipated savings, business opportunity, data or production, however arising and whether or not we were advised of the possibility;
- we are not liable for loss arising from your decision to place a product on a market, your labelling, your claims, your safety assessment, or your failure to comply with the regulatory obligations described in section 6;
- we are not liable for loss caused by reliance on information published on this site, as opposed to information given in a signed quotation, order confirmation or specification;
- our total aggregate liability arising out of or in connection with your use of the site, or with any single matter, is limited to the greater of (a) USD 1,000 and (b) the total amount you paid us for the specific goods or services giving rise to the claim in the 12 months before the event giving rise to it.
These limits are part of the basis on which we make the site available and quote for work. They apply regardless of the form of action — contract, tort (including negligence), breach of statutory duty or otherwise — and they survive termination. Liability for the supply of goods is governed by the limitation provisions in the applicable supply agreement, which prevail over this section for that supply.
13. Indemnity
You agree to indemnify and hold us harmless against any claim, loss, liability, cost or expense (including reasonable legal fees) arising out of:
- material you supply to us — artwork, logos, product names, claims, copy or formulations — including any allegation that it infringes a third party’s intellectual property or is unlawful in a destination market;
- your breach of these terms or of an applicable law;
- your failure to comply with the regulatory obligations described in section 6;
- any product you place on the market bearing your brand, except to the extent the claim is caused by our manufacturing defect.
We will notify you of a claim covered by this section, allow you to participate in its defence, and not settle it in a way that admits your fault without your consent. This does not limit our own liability for our manufacturing defects.
14. Confidentiality
Information exchanged through the public site is not confidential — see section 8. Once we have signed a mutual NDA or a supply agreement containing confidentiality terms, that document governs how each side handles the other’s confidential information, for how long, and what happens when the relationship ends.
We treat our customers’ brand plans, artwork and formulae as confidential as a matter of practice: we do not resell an exclusive formula developed for a customer, and we do not show a customer’s packaging to another customer without permission. That practice is backed by contract where an NDA or supply agreement is in place.
15. Governing law and disputes
These terms, and any dispute arising out of or in connection with them or with your use of the site, are governed by the laws of the People’s Republic of China, without regard to its conflict-of-law rules and excluding the separate legal systems of Hong Kong SAR, Macao SAR and Taiwan.
Before starting proceedings, we both agree to try to resolve the dispute in good faith: the party raising it sends a written notice describing the issue, and the parties discuss it for at least 30 days.
If that does not resolve it, the courts of the place where we are established — the People’s Court of Huadu District, Guangzhou — have exclusive jurisdiction, and both sides consent to that jurisdiction. If the parties prefer, they may agree in writing to refer the dispute to arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou, in English, before a single arbitrator.
Because this site is offered to businesses and not to consumers, the special jurisdiction rules that protect consumers — for example Article 6 of Regulation (EC) No 593/2008 (Rome I) and Article 17 of Regulation (EU) No 1215/2012 (Brussels Ia) — do not apply to the use of this site. Nothing in this section deprives you of the protection of a mandatory rule of the law of your own country that cannot be derogated from by agreement; if such a rule gives you a right that these terms would otherwise exclude, that right prevails.
16. General
- Severability. If a provision is held invalid or unenforceable, it is modified to the minimum extent necessary to make it enforceable, and the remaining provisions continue in full force.
- No waiver. A failure or delay in exercising a right is not a waiver of it, and a single waiver is not a continuing waiver.
- Entire agreement. These terms, together with the Privacy Policy and any signed supply agreement, NDA or order confirmation, are the entire agreement about the site and supersede earlier discussions on that subject.
- Assignment. You may not assign or transfer your rights under these terms without our written consent. We may assign them to an affiliate or to a successor of the relevant business, on notice to you.
- Force majeure. Neither side is liable for a failure caused by an event beyond its reasonable control — natural disaster, epidemic, war, civil unrest, government action, port closure, failure of utilities or transport, or a sustained failure of an upstream supplier — provided it notifies the other promptly and mitigates the effect.
- Survival. Sections 5 to 8 and 11 to 17 survive the end of your use of the site.
- Language. These terms are published in English, which is the authoritative version. Any translation is for convenience only; in case of conflict, the English text prevails.
- Third-party rights. No one other than you and us has any right to enforce these terms.
- Headings and examples. Headings are for navigation only. Examples introduced by “for example” or “such as” do not limit the scope of the provision.
- Electronic acceptance. Using the site, or submitting an inquiry through it, is your electronic acceptance of these terms.
17. Document control
These terms are maintained by the Privacy Desk together with our commercial team and reviewed by management at least once a year. Material changes are published on this page with a new version number and effective date; continued use of the site after a change takes effect means you accept the updated terms.
These terms describe how we operate this website. They are not legal advice to you, and they do not replace a signed supply agreement or the advice of a qualified regulatory professional for your market.
